This presentation will provide an overview the various considerations relevant to structuring a sale or acquisition transaction in the context of insolvency proceedings\, using examples from certain cases to illustrate how parties have previously structured insolvency transactions to address unique issues that arose in those cases. \nLe processus de vendre ou d’acquérir une entreprise et/ou les actifs d’une compagnie insolvable peut s’avérer complexe et fastidieux\, notamment dans un contexte où les procédures d’insolvabilité se déroulent fréquemment de manière accélérée\, limitant ainsi la possibilité de procéder à une vérification diligente adéquate. Cette présentation fera un survol des différentes considérations pertinentes dans l’élaboration d’une structure de vente ou d’acquisition dans le contexte de procédures d’insolvabilité\, et offrira des exemples de certains dossiers pour illustrer comment les parties on précédemment structuré des transactions de vente ou d’acquisition de compagnies insolvable afin de répondre aux problématiques uniques rencontrées dans ces dossiers.
